Capital raising in Vancouver

Capital raising advice for Vancouver startups and growing companies: the strategy, the model, the materials and the negotiation behind a raise from angels, venture capital, family offices, strategic investors or lenders. You go to market prepared, and close on terms you understand.

When founders call us

Six moments before a raise

Most raises are decided before the first meeting, by how clearly the company can show what the money is for and what it will achieve.

Raising a first round

A pre-seed or seed round from angels or early-stage funds, often on a SAFE or a convertible note, with a valuation cap that does not cost you later.

Preparing for Series A or B

Metrics, a model and a data room that hold up to institutional diligence, and a clear story about what the round will fund.

Outside capital for the first time

A bootstrapped or owner-led company weighing outside investors, and what it means for control, reporting and the eventual exit.

Looking beyond venture capital

Venture debt, strategic investors, family offices and non-dilutive funding, matched to the stage and the cash flow of the business.

A term sheet on the table

Valuation, liquidation preferences, board seats and protective provisions, read for what they mean in a good outcome and a bad one.

Recapitalizing before an exit

A secondary sale, a partial buyout or new capital ahead of a sale, structured so existing shareholders understand the trade-offs.

Capital in Vancouver

How capital gets raised in Vancouver

Vancouver has an active early-stage ecosystem of angel groups, venture funds and family offices, and a deep public market for resource and growth companies on the TSX Venture Exchange and the CSE. Larger rounds usually bring in investors from Toronto, Seattle, the Bay Area or further afield.

We have built relationships across that market, with venture capital and private equity investors, family offices, lenders and strategic partners, and we know what investors here expect to see before they commit.

Local leads, outside follow-on

Many Vancouver rounds are led by a local angel group or fund, with later rounds led from outside the province. Preparing for the second group while raising from the first avoids a reset later: clean records, a defensible model and terms that will not put off a future lead.

U.S. investors on the cap table

Raising from U.S. funds can mean a cross-border structure, a U.S. holding company or different instruments. The choice affects tax, option pricing and future rounds, and it is easier to get right before the money arrives.

Non-dilutive capital first

Programs such as NRC IRAP and SR&ED tax credits can stretch an equity round. They come with timing, matching and reporting requirements that need to be built into the plan.

Public markets as an option

For resource and some growth companies, a listing on the TSX Venture Exchange or the CSE, or a reverse takeover, can be an alternative to a private round. It brings its own costs, reporting and investor base, and the comparison should be made on numbers.

Our view

Investors fund clarity

Investors see many decks. The ones that get funded show, simply and credibly, how much money is needed, what it will achieve and why this team can achieve it. Most of that is decided by the quality of the model and the thinking behind it, before the first meeting.

We help founders build that clarity, then protect it in the negotiation. A good valuation on poor terms is not a good outcome, so we model every term sheet before you sign it.

How a raise works

Five stages from first call to closing

The timeline depends on the stage of the company and the market. You receive a written proposal with the scope, stages and fee before any work begins.

We do not underwrite or sell securities. We prepare you, work through the process alongside you and your legal counsel, and work with a registered dealer where one is needed.

Frequently asked questions

Capital raising questions we hear most often

We prepare you, help you identify and approach the right investors and support the negotiation, while you stay in control of the process and the decision. We do not underwrite or sell securities; where a registered dealer is needed, we work alongside one.

From pre-seed and seed to Series A and B, and established private companies raising growth or expansion capital for the first time.

It depends on the amount, the investors and how soon a priced round is likely. We model each option on your cap table so you can see the dilution in different outcomes. See our guide to modeling convertible notes.

Enough to reach the next milestone that changes your valuation, with a buffer for delays. We tie the amount to a use-of-funds plan and a runway in the model.

It depends on the stage, the market and how prepared the company is. Preparation is the part you control, and it shortens everything that follows.

Yes. We help you set a pre-money value you can defend with investors and, where needed, provide an independent business valuation.

It depends on the scope. After a first conversation we send a written proposal setting out the scope, the stages and the fees, so the cost is clear before any work begins.

No. Vancouver is our home base, and we work with founders across British Columbia and Canada, and on raises internationally, including in Bangkok.
